Welcome to Codexa. Codexa Intelligence Inc. ("Codexa", "we", "us", or "our") provides an AI-powered demo service in which an AI agent presents an interactive product demonstration and qualification session to participants ("Demo Services"). Codexa Intelligence Inc. is a corporation organized under the laws of Alberta, Canada.

These Terms of Service ("Terms" or "Agreement") govern your access to and use of the Demo Services and any related services. By accessing or using the Demo Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, do not access or use the Demo Services.

If you are agreeing to these Terms on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind that entity, and "you" refers to that entity.

1. Eligibility

The Demo Services are intended for business use by individuals who are at least 16 years of age. If you are under the age of majority in your jurisdiction, you may use the Demo Services only with the involvement of a parent, legal guardian, or authorized representative of the entity on whose behalf you are acting.

2. License to use the Demo Services

Subject to your compliance with these Terms, Codexa grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Demo Services for the duration of your subscription or engagement, solely for your internal business purposes. This license is subject to the restrictions in these Terms, and all rights not expressly granted are reserved by Codexa.

3. The Demo Services

The Demo Services enable an AI agent to deliver product demonstrations and qualification sessions to participants, including presenting content, asking qualifying questions, handling objections, and generating session summaries, lead scores, and related output for our clients.

You represent and warrant that you have the right to deploy and conduct such demonstrations and that your use of the Demo Services does not violate any applicable law or any third-party rights, including intellectual property and privacy rights. By using the Demo Services, you grant Codexa the right to record and process session data, including audio, video, transcripts, and chat content, as described in the Codexa Privacy Policy, in order to provide the Demo Services and improve service quality.

4. Your responsibilities

You are responsible for your use of the Demo Services, including the conduct of any demonstration you deploy. In particular, where you embed or deploy a Codexa-powered demo on a website or other property you control, you are responsible for:

  • Clearly informing participants that an AI agent is conducting the session.

  • Disclosing that sessions are recorded and obtaining any consent required by applicable law.

  • Ensuring that any content, scripts, product information, or data you provide to the Demo Services is accurate and that you have the right to use it.

  • Maintaining your own privacy notices and complying with privacy and consumer protection laws applicable to your business.

You agree not to use the Demo Services to create, transmit, or facilitate any content or activity that is unlawful, defamatory, abusive, harassing, deceptive, or otherwise objectionable, or that infringes or violates the rights of any third party.

5. Recording and data

Codexa records and stores demo and qualification sessions and related data as described in the Codexa Privacy Policy, which is incorporated into these Terms by reference. Such data may be retained for the duration of your subscription and for a reasonable period thereafter to comply with legal obligations, for backup and archival purposes, to maintain and improve service quality, and to train and improve our AI models, including through the use of de-identified and aggregated data. Codexa will not sell your session recordings, and will disclose them only as set out in the Privacy Policy or as required by law.

6. Third-party services

The Demo Services rely on and may operate alongside third-party providers, including our demo technology partner and other infrastructure, communications, and analytics providers. Your use of the Demo Services may also be subject to the terms and policies of those providers in respect of their processing. Codexa is not responsible for third-party services it does not control, and the availability of the Demo Services may depend on those providers.

7. Fees

Fees, billing frequency, and payment terms are set out in your applicable order, subscription, or service agreement with Codexa. Unless otherwise stated, fees are payable in advance and are non-refundable except as required by law or expressly agreed in writing. Codexa bills in US dollars unless your agreement specifies otherwise.

8. Intellectual property

The Demo Services, including all software, algorithms, AI models, demo and qualification technology, and all related materials, are and remain the exclusive property of Codexa and its licensors. These Terms grant you no ownership interest in the Demo Services other than the limited license described above.

You retain ownership of the content and data you provide to the Demo Services ("Your Content"). You grant Codexa a non-exclusive, worldwide license to host, process, and use Your Content as necessary to provide the Demo Services and as otherwise described in these Terms and the Privacy Policy. To the extent you provide playbooks, scripts, or training material, you grant Codexa the right to use them to configure and operate the Demo Services for you.

Codexa owns all rights in the de-identified and aggregated data, model improvements, and service enhancements derived from use of the Demo Services.

9. Confidentiality

Each party may have access to non-public information of the other party. Each party agrees to protect the other's confidential information using reasonable care and to use it only as necessary to perform under these Terms, except where disclosure is required by law.

10. Security

Codexa takes reasonable measures to protect the security of session data and personal information, as described in the Privacy Policy. However, no system or method of transmission is completely secure, and Codexa cannot guarantee absolute security. You are responsible for safeguarding any login credentials and other sensitive information associated with your use of the Demo Services.

11. Disclaimers

The Demo Services are provided "as is" and "as available", without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement, to the maximum extent permitted by law. Codexa does not warrant that the Demo Services will be uninterrupted, error-free, or that AI-generated output, qualification results, or lead scores will be accurate or complete. You are responsible for your own decisions made in reliance on the Demo Services.

12. Limitation of liability

To the maximum extent permitted by law, Codexa and its directors, officers, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or relating to your use of the Demo Services, even if advised of the possibility of such damages. To the maximum extent permitted by law, Codexa's total aggregate liability arising out of or relating to these Terms or the Demo Services will not exceed the amounts you paid to Codexa for the Demo Services in the twelve months preceding the event giving rise to the claim.

13. Indemnification

You agree to indemnify and hold harmless Codexa and its directors, officers, employees, and suppliers from any claims, damages, liabilities, and expenses, including reasonable legal fees, arising out of your use of the Demo Services, Your Content, your deployment of demonstrations, or your breach of these Terms or applicable law, including any failure to provide required notices or obtain required consents from participants.

14. Term and termination

These Terms apply for as long as you use the Demo Services or have an active subscription. Either party may terminate in accordance with the applicable subscription or service agreement. Codexa may suspend or terminate your access if you breach these Terms or use the Demo Services in a manner that creates risk or legal exposure for Codexa or others. Provisions that by their nature should survive termination, including those on intellectual property, confidentiality, disclaimers, limitation of liability, and indemnification, will survive.

15. Governing law

These Terms are governed by the laws of the Province of Alberta and the federal laws of Canada applicable therein, without regard to conflict of laws principles. Subject to any dispute resolution terms in your separate agreement with Codexa, the courts located in Alberta, Canada will have jurisdiction over disputes arising out of or relating to these Terms, and you consent to that jurisdiction and venue.

16. Changes to these Terms

We may update these Terms from time to time. We will post the revised version on our website and update the "Last updated" date above. Changes take effect when posted, and your continued use of the Demo Services after that point constitutes acceptance of the revised Terms.

17. General

These Terms, together with the Privacy Policy and any order or service agreement between you and Codexa, constitute the entire agreement between you and Codexa regarding the Demo Services and supersede all prior agreements and understandings on that subject. If any provision is held invalid or unenforceable, it will be struck and the remaining provisions will remain in effect. Codexa's failure to enforce any provision is not a waiver of it. You may not assign these Terms without Codexa's consent; Codexa may assign them in connection with a merger, acquisition, or sale of assets.
